Article 1. Name and Object
Sec. 1. Name: Chicago Area Camera Clubs Association
Sec. 2. Objective: Development of fellowship among
member clubs and promotion of photographic interests and accomplishments
in the Chicago area.
Article 2. Membership
Sec. 1. Eligibility: Any camera club located in the
Chicago area* interested in any phase of photography and which holds at
least six regularly scheduled meetings from September through May. CACCA
club membership must be open.
Sec. 2. Affiliation: Camera clubs may become members
by application to and acceptance by the Board of Directors.
Sec. 3. Representation: Each member club shall be represented by a
delegate.
Article 3. Officers and Board of Directors
Sec. 1. Officers: President, Vice President,
Secretary, and Treasurer.
Sec. 2. Board of Directors: Shall consist of the
above officers (4) the retiring President and at least fifteen members
and no more than twenty-five members elected from member clubs in good
standing.
Sec. 3. Term of office: One Year.
Sec. 4. Order of succession: If the President of the
Association is unable to perform his duties, those duties shall be
performed by a replacement in the following order of succession: ?
Vice President
Ex-Officio Member of Board. (Immediate past-President)
Treasurer
A member of the Board of Directors as selected by that Board.
Sec. 5. Removal of officer and/or member of the Board of Directors
An individual may be removed as an officer or from
the Board of Directors upon a majority recommendation from the Board of
Directors and approval, by a majority vote, of the delegates.
Sec. 6. Attendance: ?
Board members and officers are expected to attend
both the monthly Delegates Meetings and Board Meetings, which are the
regular meetings of the Association. Any Board member or officer who is
absent from two consecutive Board Meetings or two consecutive Delegates
Meetings may be replaced by action of the Board, if such action is in
the best interests of the Association.
Sec. 7. In the case a vacancy occurs on the Board, the President
shall make a recommendation to the Board for approval.
* This term is not intended to exclude any camera club from Wisconsin
or Indiana that wishes to actively participate in CACCA activities.
Article 4. Nominating Committee
Sec. 1. Nominating Committee: Shall submit recommendations for
officers and Board members to the delegates one month before the annual
election.
Article 5. Meetings
Sec. 1. Board Meetings: Shall be at such time and
place as specified by either the officers or the Board, but shall not be
less often than four times during the CACCA year.
Sec. 2. Delegates Meetings: Shall be at such times
and places as specified by either the officers or the Board, but shall
not be less often than once each month, October through May.
Article 6. Amendments
Sec. 1. Amendments: Proposed amendments to this
constitution shall be submitted in writing to the Board of Directors.
Those approved by the Board (by majority vote) shall then be read and
distributed in writing to the Delegates at the next Delegates meeting
and voted on at the following meeting. Approval by two-thirds of those
delegates voting and whose clubs are in good standing shall be required
for adoption.
